TERMS OF USE – UTaaS PLATFORM

By accessing or using the UTaaS platform provided by EAM Resources Ltd. ("Company"), you agree to be legally bound by these Terms of Use ("Terms"). If you do not agree, do not access or use the platform.

• "Platform" means any web or blockchain-based system operated by the Company where XTAU tokens can be used.
• "User" means any individual or entity accessing the Platform.
• "Token" or "XTAU" refers to the non-financial utility token governed by the Company’s token policy.
• "Access Credits" refer to service-level utility units earned through staking.

• Tokens grant access to specific non-financial services including: document authentication, smart contract triggers, data retrieval, compliance module access.
• Users may earn access credits through staking XTAU, which can expire, and cannot be monetized.

Users agree to:

• Use tokens only within the intended ecosystem.
• Maintain accurate KYC/AML information.
• Not exploit the system for resale, speculation, or unauthorized financial return.
• Refrain from attempting unauthorized access, reverse engineering, or tampering with smart contracts.

• XTAU tokens are not securities, and provide no equity, voting, dividend, or ownership rights.
• Tokens must not be used for illegal purposes, including money laundering, fraud, or terrorist financing.

The Company may suspend or terminate a user’s access in the event of:

• Non-compliance with these Terms;
• Suspicious activity or KYC breach;
• Regulatory action requiring discontinuation of service.

Upon termination, all access credits may be forfeited and the account deactivated.

All trademarks, code, platform components, and documentation are owned by the Company. Users shall not copy, reproduce, or use proprietary content without authorization.

• The platform is provided "as-is" without warranty of uninterrupted service, availability, or fitness for a particular purpose.
• Company shall not be liable for indirect or consequential damages, loss of tokens, or access issues.

• These Terms shall be governed by the laws of the Republic of Seychelles.
• Disputes shall be settled by confidential arbitration under the Seychelles Arbitration Act.

Company reserves the right to update these Terms at any time. Continued use of the platform after such updates constitutes acceptance of the revised terms.
